Terms and Conditions for Yeewallex Card Service

易雲匯卡服務條款及條件

1 DEFINITIONS

定義

1.1 In this Agreement, unless the context otherwise requires, the following terms have the following meanings:

於本協議中，除非上下文另有所指，下列詞彙具有以下涵義：

“Account Notice” means a notice, letter, application form or document (whether in a physical or electronic form) prescribed by Yeewallex from time to time, which include such forms or documents in relation to the application for, amendment to, or withdrawal from the Services by the Corporate Client and the Cardholder.  

「帳戶通知」指易雲匯不時訂明的通知、信函、申請表或文件（無論是實體或電子形式），包括與公司客戶和持卡人申請、修訂或退出服務有關的該等表格或文件。

“Agreement” means these Terms and Conditions for Yeewallex Card Service and the Schedules, Account Notices and all other applicable terms and conditions in respect of the use of the Yeewallex Card and the Services as amended and supplemented by Yeewallex from time to time.  

「協議」指本易雲匯卡服務條款及條件與其附表、帳戶通知以及所有其他有關易雲匯卡使用和服務的適用條款及條件，包括 易雲匯不時作出的修訂和補充。

“ATM” means any automated teller machine or automated cash dispenser or other terminals from time to time announced by Yeewallex.

「ATM」指任何自動櫃員機、自動現金提款機或易雲匯不時公告的其他終端機。

“Card Account” means an account opened and maintained by Yeewallex in the joint names of the Corporate Client and the Cardholder for the purposes of recording the Collateral for, and debits and credits in respect of, usage of the Yeewallex Card by a Cardholder. The Card Account is not a trust account held by Yeewallex for the Corporate Client or the Cardholder.

「卡帳戶」指易雲匯以公司客戶和持卡人的聯合名義開立及管理的帳戶，用於記錄使用易雲匯卡的抵押金，以及與持卡人使用易雲匯卡有關的支賬及進賬。卡帳戶並非易雲匯代表公司客戶或持卡人持有的信託賬戶。

“Cardholder” means an individual nominated by the Corporate Client in the relevant Account Notice(s) and accepted by Yeewallex, as the person in whose name a Yeewallex Card is issued and in whose name a Card Account is opened and maintained.

「持卡人」指由公司客戶在有關帳戶通知中提名，且易雲匯接受的個人，作為以其名義發行易雲匯卡並開立及管理卡帳戶的人。

“Card Transaction” means any purchase of goods and/or services or (in the case of a physical Yeewallex Card) any cash advances effected using the Yeewallex Card or the Yeewallex Card Account Number, whether the same is authorised by the Cardholder or not.

「卡交易」指使用易雲匯卡或易雲匯卡帳號進行的任何商品和/或服務購買或（就實體易雲匯卡而言）任何現金預支，無論是否得到持卡人的授權。

“Charges” has the meaning given to it in Clause 9.

「收費」指第9條所賦予的涵義。

“Corporate Client” means a company or entity at whose request a Yeewallex Card is issued, and in whose name the Master Account is opened and maintained.

「公司客戶」指應其要求發行易雲匯卡並以其名義開立及管理主帳戶的公司或實體。

“Collateral” has the meaning given to it in Clause 4.2.

「抵押金」指第4.2條所賦予的涵義。

“Designated Recipient” has the meaning given to it in Clause 4.2.

「指定收款人」指第4.2條所賦予的涵義。

“Fees” has the meaning given to it in Clause 10.

「費用」指第10條所賦予的涵義。

“Fees Schedule” means the schedule setting out the annual fees, handling fee, late charge, interest and other fees and charges from time to time in force and applicable to the Yeewallex Card and the Services.

「費用表」指列出不時有效及適用於易雲匯卡和服務的年費、手續費、滯納金、利息及其他費用和收費的表。

“Hong Kong” means the Hong Kong Special Administrative Region of the People’s Republic of China.

「香港」指中華人民共和國香港特別行政區。

“HKD” means the lawful currency of Hong Kong for the time being.

「港幣」指香港現時的法定貨幣。

“Indirect Loss” means any indirect or consequential loss including loss of profits or anticipated savings, loss of business opportunity, loss of goodwill or reputation, business interruption, unauthorised access to or loss of data, economic loss or any special, indirect or consequential damage and includes any costs arising in connection with any of them.

「間接損失」指任何間接或結果性損失，包括利潤或預期節餘損失、商業機會損失、商譽或聲譽損失、業務中斷、未經授權取得資料或資料損失、經濟損失或任何特殊、間接或結果性損害，並包括與上述任何一項有關而產生的任何費用。

“Loss” means any damage, loss, liabilities, costs and expenses (including legal costs on a full indemnity basis and taxes), delay or diminution of value.

「損失」指任何損害、損失、責任、費用及開支（包括在全額彌償基礎上的法律費用及稅項）、延遲或減值。

“Master Account” means an account opened and maintained by Yeewallex in the name of the Corporate Client for the purposes of recording the Collateral for, and debits and credits in respect of, usage of the Yeewallex Cards by all Cardholders. The Master Account is not a trust account held by Yeewallex for the Corporate Client or Cardholder.

「主帳戶」指 易雲匯以公司客戶名義開立及管理的帳戶，用以記錄與所有持卡人使用易雲匯卡的抵押金，以及使用易雲匯卡有關的支賬及進賬。主帳戶並非易雲匯代表公司客戶或持卡人持有的信託賬戶。

“Personal Data” shall be as defined in the Personal Data (Privacy) Ordinance (Cap 486 of the Laws of Hong Kong) and any guidance or regulations issued pursuant to such ordinance.

「個人資料」乃根據《個人資料（私隱）條例》（香港法例第486章）界定及根據該條例頒佈的任何指引或規例所定義。

“PIN” means the personal identification number(s), security detail(s), authentication factors or tokens of the Cardholder to use the Yeewallex Card. The PIN may be assigned by Yeewallex or designated by the Cardholder from time to time (including but not limited to passwords, passcodes, fingerprints, facial features or other biometric or identification credentials etc), which may be used to effect or authorise the Card Transactions.

「個人識別碼」指持卡人使用易雲匯卡的個人識別號碼、安全資料、驗證要素或記號。個人識別碼可由 易雲匯不時分配或由持卡人指定（包括但不限於密碼、通行碼、指紋、面部特徵或其他生物識別或身份憑證等），可用於執行或授權卡交易。

“Redemption” means a return or refund of the Collateral recorded in the Master Account and/or the Card Account, in full or in part, to such bank account(s) or other types of account(s)/wallet(s)/reserve(s) of the Corporate Client and/or the Cardholder as nominated in the relevant Account Notice(s) from time to time.

「贖回」指將主帳戶及/或卡帳戶中記錄的抵押金全部或部分退還或退款至公司客戶及/或持卡人不時於相關帳戶通知中指定的銀行帳戶或其他類型的賬戶/錢包/儲備。

“Statement” means a monthly statement of account sent by Yeewallex:

「結單」指易雲匯發送的以下月結單：

(a) to the Corporate Client and/or Cardholder, setting out the Card Account activities and the amount then due to Yeewallex in respect of the Card Account; and/or

對於公司客戶及/或持卡人，載列卡帳戶活動及當時就卡帳戶應付易雲匯的款項；及/或

(b) to the Corporate Client, setting out the Master Account activities and the amount then due to Yeewallex in respect of the Master Account.

對於公司客戶，載列主帳戶活動及當時就主帳戶應付易雲匯的款項。

“Terminal” means an electronic data capture terminal, smart card terminal or other point-of-sale terminal or reader (which may be physical, online or any other form) through which the Card Transactions may be effected or processed from time to time.

「終端」指不時執行或處理卡交易的電子資料採集終端、智慧卡終端或其他銷售點終端或讀卡器（可以是實體的、網上的或任何其他形式的）。

“USD” means the lawful currency of the United States of America for the time being.

「美金」指美利堅合衆國現時的法定貨幣。

“Yeewallex” means Yeewallex HK Limited, a limited company incorporated in Hong Kong with its principal place of business in Room 707, 7/F, Cyberport 1, 100 Cyberport Road, Pokfulam, Hong Kong, and its successors and assigns.

「易雲匯」指易雲匯香港有限公司，一家在香港成立的有限公司，其主要營業地為香港薄扶林數碼港道100號數碼港1座7樓707室，及其繼承人及受讓人。

“Yeewallex Card” means a credit card (including any replacement and subsequently renewed card) issued by Yeewallex, whether in electronic and/or physical form as Yeewallex may specify from time to time.

「易雲匯卡」指易雲匯發行的信用卡（包括任何補發及隨後更新的卡），不論其爲電子及/或實體形式（由易雲匯不時指定）。

“Yeewallex Card Account Number” means the account number assigned by Yeewallex to the Cardholder which enables the Cardholder to make the Card Transactions.

「易雲匯卡帳號」指由易雲匯分配給持卡人的、使其能夠進行卡交易的帳號。 

“Yeewallex Card Service” or “Services” means any service provided by Yeewallex to the Corporate Client and/or Cardholder under this Agreement, including any services provided in respect of the Yeewallex Card, the Master Account and the Card Account.

「易雲匯卡服務」或「服務」指易雲匯根據本協議向公司客戶及/或持卡人提供的（包括有關易雲匯卡、主帳戶和卡帳戶的）任何服務。

1.2 The headings used in this Agreement are for convenience of reference only, and are not to affect the construction of or to be taken into consideration in interpreting this Agreement.

本協議中使用的標題僅為行文方便而設，不影響本協議的解釋，亦不應在解釋本協議時予以考慮。

1.3 Unless the context otherwise requires:

除非文義另有所指：

(a) any reference to a “Clause” is a reference to a clause of this Agreement;

凡提及「條款」時，均指本協議的條款；

(b) any reference to words importing a singular number shall include the plural and vice versa; and

凡提及單數詞彙時，亦包括其複數涵義，反之亦然；及

(c) any reference to “including” or “includes” means including or includes without limitation.

凡提及「包括」時，指包括或包括但不限於。

2 APPLICATION OF THIS AGREEMENT

本協議的適用

2.1 All Yeewallex Card Services made available by Yeewallex to the Corporate Client and/or Cardholder are subject to the terms and conditions of this Agreement from time to time in force. For the avoidance of doubt, a Cardholder becomes subject to the terms and conditions of this Agreement (if not already so subject) by activating and/or using a Yeewallex Card or permitting its activation or use.

易雲匯向公司客戶及/或持卡人提供的所有易雲匯卡服務，均受不時有效的本協議條款及條件規限。為免生疑問，持卡人啟動及/或使用易雲匯卡或准許啟動及使用易雲匯卡，即須受本協議條款及條件規限（如本協議條款及條件並不受本協議條款及條件規限）。

2.2 Terms and conditions of this Agreement shall be binding on each successor, personal representative and person lawfully acting on behalf of the Corporate Client and/or Cardholder.

本協議條款及條件對每一繼承人、個人代表及合法代表公司客戶及/或持卡人行事的人士均具約束力。

3 APPLICATION FOR THE YEEWALLEX CARD

易雲匯卡的申請

3.1 Before using the Yeewallex Card, the Corporate Client and the Cardholder must apply to Yeewallex and comply with the requirements prescribed by Yeewallex from time to time (including submission of the relevant Account Notice(s) prescribed by Yeewallex). Any application for the issuance of a Yeewallex Card must be made through and approved by the Corporate Client.

在使用易雲匯卡前，公司客戶及持卡人必須向易雲匯提出申請，並遵守易雲匯不時規定的要求（包括提交易雲匯規定的有關帳戶通知）。任何易雲匯卡的發放申請必須通過公司客戶提出並經其批准。

3.2 Yeewallex may refuse to accept a Yeewallex Card application at its sole discretion. If an application is accepted by Yeewallex, the Yeewallex Card will be issued to the Cardholder in electronic and/or physical form as Yeewallex may specify from time to time.

易雲匯可自行決定拒絕接受易雲匯卡申請。如易雲匯接受申請，易雲匯卡將以電子及/或實體形式（由易雲匯不時指定）向持卡人發出。

4 COLLATERAL

抵押金

4.1 The Cardholder can only use the Yeewallex Card after the Corporate Client and/or the Cardholder have provided Yeewallex with the Collateral. Payment of the Collateral is further subject to Clause 11.

持卡人僅可在公司客戶及/或持卡人已向易雲匯提供抵押金後方可使用易雲匯卡。抵押金將用以釐定每張易雲匯卡的消費限額。抵押金的支付另受第11條約束。

4.2 As a condition for the use of the Yeewallex Card, the Corporate Client and/or the Cardholder must pay an amount of collateral to Yeewallex or its designated entity (“Designated Recipient”), as financial assurance (“Collateral”) that the Corporate Client and/or the Cardholder will settle all amounts owed to Yeewallex under this Agreement from time to time, including:

作為使用易雲匯卡的條件，公司客戶及/或持卡人必須向易雲匯或其指定實體（「指定收款人」）支付一筆抵押金作為財務擔保（「抵押金」），以確保公司客戶及/或持卡人將不時清償根據本協議所欠易雲匯的所有款項，包括：

(a) any Charges;

任何收費；

(b) all the Fees; and

所有費用；及

(c) any other amounts owed to Yeewallex under this Agreement.

根據本協議所欠易雲匯的任何其他款項。

4.3 Yeewallex will notify the Corporate Client and/or the Cardholder of:

易雲匯將通知公司客戶及/或持卡人：

(a) the Collateral amount to be provided by the Corporate Client and/or the Cardholder to Yeewallex; and

公司客戶及/或持卡人須向易雲匯提供的抵押金金額；及

(b) any variation to the Collateral amount, as may be required from time to time.

抵押金金額的任何變動（如不時所需）。

4.4 Upon receipt of the Collateral by Yeewallex and/or the Designated Recipient, the Corporate Client and/or the Cardholder acknowledge and agree that:

易雲匯及/或指定收款人收到抵押金後，公司客戶及/或持卡人確認並同意：

(a) Yeewallex may:

易雲匯可：

(i) deduct the Collateral and utilise the deducted amount towards repayment of any amount owed by the Corporate Client and/or the Cardholder to Yeewallex under this Agreement (whether such amount is present, future, actual, contingent or potential, liquidated or unliquidated and irrespective of the currency of its denomination); and/or

扣除抵押金並使用扣除金額以償還公司客戶及/或持卡人根據本協議所欠易雲匯的任何款項（無論該款項為現時、未來、實際、或有、潛在、已清算或未清算，亦不論其貨幣種類）；及/或

(ii) upon receiving the instruction from the Corporate Client and/or the Cardholder, procure the Designated Recipient to transfer the Collateral received to Yeewallex. Any Collateral transferred to Yeewallex shall be recorded under the applicable Card Account, which will be deducted and utilised by Yeewallex towards repayment of any amount owed by the Corporate Client and/or the Cardholder to Yeewallex under this Agreement (whether such amount is present, future, actual, contingent or potential, liquidated or unliquidated and irrespective of the currency of its denomination);

在收到公司客戶及/或持卡人的指示後，促使指定收款人將所收取的抵押金轉讓予易雲匯。任何轉讓予易雲匯的抵押金應記錄於相關卡帳戶下，易雲匯可扣除並使用該等金額以償還公司客戶及/或持卡人根據本協議所欠付易雲匯的任何款項（無論該款項為現時、未來、實際、或有、潛在、已清算或未清算，亦不論其貨幣種類）。

(b) all rights, title and interest in and to any Collateral shall be irrevocably transferred to, and vest in, Yeewallex and/or the Designated Recipient free and clear of any liens, claims, charges or encumbrances or any other interest that the Corporate Client, the Cardholder or any third party may have in the Collateral;

對任何抵押金的所有權利、所有權及權益將不可撤銷地轉讓至並歸屬於易雲匯及/或指定收款人，且不受公司客戶、持卡人或任何第三方可能對抵押金享有的任何留置權、索償、抵押、負擔或其他權益所限制。

(c) the Collateral does not represent a debt owed by Yeewallex and/or the Designated Recipient to the Corporate Client and/or the Cardholder (thus Yeewallex and/or the Designated Recipient has no obligation to repay the Collateral), nor is it an amount held on trust by Yeewallex and/or the Designated Recipient for the Corporate Client and/or the Cardholder;  

抵押金不構成易雲匯及/或指定收款人對公司客戶及/或持卡人的債務（因此易雲匯及/或指定收款人無義務償還抵押金），亦非易雲匯及/或指定收款人為公司客戶及/或持卡人以信託方式所持有的資金；

(d) notwithstanding its name, the provision of the Collateral does not create any mortgage, charge, lien, pledge, encumbrance or other security interest in favour of any person; and

儘管其名稱為抵押金，提供抵押金並不構成對任何人士提供的按揭、抵押、留置權、質押、負擔或其他擔保權益；及

(e) the Corporate Client and/or the Cardholder may request a Redemption of the Collateral received by Yeewallex and/or the Designated Recipient pursuant to Clause 4.5.

公司客戶及/或持卡人可根據第4.5條要求贖回易雲匯及/或指定收款人所收取的抵押金。

4.5 The right to request a Redemption of the Collateral (whether in whole or in part) can be exercised by:

贖回抵押金（不論全部或部分）的權利可由以下人士行使：

(a) the Corporate Client in such manner and at such time interval as specified by Yeewallex from time to time at Yeewallex’s sole and absolute discretion, provided that the Corporate Client and all Cardholders attributed to such Corporate Client do not have any unsettled liabilities under this Agreement; or

公司客戶可按易雲匯不時全權酌情指定的方式及時間間隔行使該權利，前提是公司客戶及其所屬的所有持卡人根據本協議並無任何未清償的債務；或

(b) the Cardholder in such manner and at such time interval as specified by Yeewallex from time to time, provided that:

持卡人可按易雲匯不時指定的方式及時間間隔行使該權利，前提是：

(i) the Cardholder’s request is be made through and approved by the Corporate Client; and

持卡人的申請須經由公司客戶提出並獲其批准；及

(ii) the Cardholder does not have any unsettled liabilities under this Agreement.

持卡人根據本協議並無任何未清償的債務。

5 SPENDING LIMIT

消費限額

5.1 The Yeewallex Card will be subject to a spending limit imposed by Yeewallex at its sole discretion from time to time and notified to the Corporate Client and the Cardholder(s).

易雲匯卡將受限於易雲匯不時自行決定施加的消費限額，並通知公司客戶及持卡人。

5.2 Any existing spending limit may be varied by Yeewallex at its sole discretion. If Yeewallex decides to increase a Cardholder’s spending limit, prior notice will be given to the Corporate Client and Cardholder. If Yeewallex decides to decrease a Cardholder’s spending limit, it can do so at any time without prior notice to or consent of the Corporate Client or any Cardholder(s).

任何現有的消費限額可由易雲匯自行決定變更。如易雲匯決定提高持卡人的消費限額，將事先通知公司客戶及持卡人。如易雲匯決定降低持卡人的消費限額，其可在任何時間實施，而無需事先通知公司客戶或任何持卡人或征得其同意。

5.3 Yeewallex may at its sole discretion (but is not obliged to) permit the Card Transactions to be effected in excess of the spending limit, and the Corporate Client and Cardholder shall be jointly and severally liable for such transaction.

易雲匯可自行決定（但無義務）允許超過消費限額的卡交易進行，公司客戶及持卡人應對該等交易承擔連帶責任。

5.4 Yeewallex may at its sole discretion reject any Card Transaction or require extra procedures to effect a Card Transaction, regardless of whether it is within the spending limit or not. Where Yeewallex rejects a Card Transaction, it will not be liable to the Cardholder or the Corporate Client for any consequences, Losses or liabilities arising from or in connection with such rejection.

無論卡交易是否在消費限額內， 易雲匯均可自行決定拒絕任何卡交易或要求額外程序以使卡交易生效。如易雲匯拒絕卡交易，其不會就該拒絕交易所引起的或與之相關的任何後果、損失或責任對持卡人或公司客戶承擔任何責任。

6 USE OF YEEWALLEX CARD

易雲匯卡的使用

6.1 The Corporate Client and the Cardholder acknowledge and agree that:

公司客戶及持卡人確認並同意：

(a) the Cardholder shall activate and use the Yeewallex Card in the manner directed by Yeewallex and use the Yeewallex Card until its expiry, suspension, cancellation or termination. If it is a physical Yeewallex Card, the Cardholder shall sign on the back of the card immediately upon receipt;

持卡人必須按照易雲匯指定的方式啟動和使用易雲匯卡，並在易雲匯卡到期、中止、註銷或終止前繼續使用易雲匯卡。如屬實體易雲匯卡，持卡人應於收到該卡後立即於卡背面簽署；

(b) the Yeewallex Card shall at any time remain the property of Yeewallex. Upon request by Yeewallex, the Cardholder shall unconditionally and immediately cease using the Yeewallex Card for any purpose;

易雲匯卡在任何時候均屬於易雲匯的財產。如易雲匯要求，持卡人必須立即無條件停止以任何目的使用易雲匯卡；

(c) the Cardholder shall use the Yeewallex Card for bona fide Card Transactions only and shall not use the Yeewallex Card for any illegal purposes;

持卡人必須將易雲匯卡用於正當的卡交易，不得將易雲匯卡用於任何非法目的；

(d) the Cardholder may use the Yeewallex Card to effect Card Transactions;

持卡人可將易雲匯卡用於卡交易；

(e) the Cardholder shall strictly observe the spending limit imposed by Yeewallex on each Yeewallex Card and shall not use the Yeewallex Card in excess of its spending limit;

持卡人必須嚴格遵守易雲匯對每張易雲匯卡設定的消費限額，不得超出消費限額使用易雲匯卡；

(f) (where applicable) the Cardholder shall at their own costs and expenses obtain all electronic hardware equipment and software (including digital certificate) necessary for effecting Card Transactions;

（如適用）持卡人必須自行承擔取得辦理卡交易所需的所有電子硬體設備和軟體（包括數位憑證）的費用和支出；

(g) the Cardholder’s right to use the Yeewallex Card shall be suspended:

持卡人在以下情況下使用易雲匯卡的權利將被暫停：

(i) if the Yeewallex Card is lost or stolen; or

易雲匯卡遺失或被盜；或

(ii) if Yeewallex is aware or is informed by the Corporate Client and/or the Cardholder that the Yeewallex Card Account Number and/or any PIN is or may be disclosed and/or known to any other person without authorisation from the Cardholder; and

易雲匯知悉或被公司客戶及/或持卡人告知易雲匯卡帳號及/或任何個人識別碼在未經持卡人授權的情況下被披露及/或被披露給任何其他人；及

(h) the Yeewallex Card is not transferable and (in the case of a physical Yeewallex Card) must be surrendered immediately upon Yeewallex’s request. The Cardholder shall not permit the Yeewallex Card to be used by any other person (including the Corporate Client).

易雲匯卡不得轉讓並（就實體易雲匯卡而言）必須於易雲匯要求時立即交還。持卡人不得允許任何其他人（包括公司客戶）使用易雲匯卡。

6.2 The Corporate Client may request that renewal and/or replacement Yeewallex Cards be issued to each Cardholder following expiry, or termination of Yeewallex Cards (including due to unauthorised disclosure and/or unauthorised use of the Yeewallex Card).  Yeewallex is not obliged to issue a renewal or replacement card, but if any renewal and/or replacement card is issued, Yeewallex shall be entitled to charge the relevant fee.

在易雲匯卡到期或終止（包括由於未經授權披露及/或未經授權使用易雲匯卡）後，公司客戶可以要求向每位持卡人發放更新及/或補發易雲匯卡。易雲匯無義務發放更新或補發卡，但在發放更新或補發卡時， 易雲匯有權收取相關費用。

6.3 Where a Cardholder is authorised by Yeewallex and the Corporate Client to use the cash advance facility made available by Yeewallex, the Cardholder may use the Yeewallex Card at ATMs or at such other premises or by such other means as Yeewallex may prescribe. The Cardholder agrees that:

倘若持卡人獲易雲匯及公司客戶授權使用由易雲匯所提供之現金預支服務，則持卡人可於ATM或於其他場所或以其他方式（由易雲匯不時指定）使用易雲匯卡。持卡人同意：

(a) the use of such cash advance facility shall also be governed by the specific terms and conditions issued by Yeewallex relating to the facility from time to time; and

使用該項現金預支服務同時須受易雲匯不時發出之有關該服務的特定條款及條件所約束；及

(b) if there is any conflict between any specific terms and conditions governing the cash advance facility and this Agreement, the relevant specific terms and conditions shall prevail in respect of the use of such cash advance facility.

如約束現金預支服務之特定條款及條件與本協議有所抵觸，則就該現金預支服務而言，應以相關特定條款及條件為準。

7 CORPORATE CLIENT AND CARDHOLDER INFORMATION

公司客戶及持卡人資訊

7.1 The Corporate Client and the Cardholder shall promptly notify Yeewallex in writing of any changes of business, registered office, correspondence address or, as the case may be, residential address, employment, work place address, email address, or telephone number, and of any change in personal or financial circumstances which might be material to Yeewallex in permitting the use or the continued use of the Yeewallex Card.

公司客戶及持卡人應及時以書面形式通知易雲匯有關商業、註冊辦公位址、通訊位址或（視情況而定）住宅位址、雇傭、工作位址、電子郵寄地址或電話號碼的任何變更，以及對易雲匯准許使用或繼續使用易雲匯卡可能具有重要影響的任何個人或財務狀況的任何變更。

7.2 Each Cardholder agrees that Yeewallex may record the telephone conversations or any verbal communication between the Cardholder and Yeewallex.

每位持卡人同意， 易雲匯有權對持卡人與易雲匯之間的電話交談或任何口頭交流進行錄音。

8 REPRESENTATIONS, WARRANTIES, ACKNOWLEDGEMENTS AND UNDERTAKINGS

陳述、保證、確認和承諾

8.1 The Corporate Client represents and warrants that:

公司客戶陳述並保證如下：

(a) it is duly incorporated or established and validly existing under the laws of its jurisdiction of incorporation or establishment;

其是根據其成立或設立的司法管轄區的法律合法成立或設立並有效存續的；

(b) it has full power, capacity, authority and legal right to own its property and assets, to carry on its business and to enter into and engage in the transactions contemplated by this Agreement and all necessary action (including any applicable corporate action) and consents have been taken or obtained to authorise the execution, delivery and performance of this Agreement;

其具有完全的權力、能力、授權和合法權利擁有其財產和資產、開展其業務以及訂立和從事本協議項下的交易，且已採取或取得所有必要的行動（包括任何適用的公司行動）和同意以授權簽署、交付和履行本協議；

(c) this Agreement constitutes legal, valid and binding obligations of the Corporate Client enforceable in accordance with their terms;

(d) neither the execution of this Agreement nor the performance by the Corporate Client of any of its obligations or the exercise of any of its rights under this Agreement will:

(i) conflict with or result in a breach of or default under any laws, judgment, order, authorisation, agreement or obligation applicable to the Corporate Client;

(ii) contravene any provision of its constitutional documents; or

違反其組織文件的任何規定；或

(iii) cause any limitation placed on it or (where applicable) the powers of its directors to be exceeded;

(e) all information given to Yeewallex in connection with this Agreement at any time is true, accurate, complete, not misleading and reliable in all material respects;

(f) it is solvent and able to pay its debts as they fall due, the value of its assets exceeds the value of its liabilities and no administrator, receiver, liquidator or similar official has been appointed with respect to it or any of its assets and no petition or proceeding for such appointment is pending; and

其具有償債能力並有能力償還到期債務，其資產的價值超過其負債的價值，且未就其或其任何資產委任任何管理人、接管人、清算人或類似人員，且不存在任何未決的有關該等委任的申請或程式；及

(g) (if applicable) it has been (or will be) authorised by each Cardholder to disclose the Cardholder’s Personal Data to Yeewallex in relation to the application for, amendment to, use of, or withdrawal from the Services.

8.2 The Cardholder represents and warrants that:

(a) the Cardholder has full capacity, or has full capacity to delegate others, to exercise the rights and obligations under the Agreement;

持卡人具有完全的行為能力或授權他人行使其在本協議項下的權利和義務；

(b) this Agreement constitutes legal, valid and binding obligations of the Cardholder enforceable in accordance with their terms;

本協議構成持卡人合法、有效和具約束力的義務，並可根據其條款強制執行；

(c) neither the execution of the Agreement nor the performance by the Cardholder of any obligations or the exercise of any rights hereunder will conflict with or result in a breach of or default under any applicable laws, judgment, order, authorisation, agreement or obligation applicable to the Cardholder;

本協議的簽署、持卡人履行其在本協議項下的任何義務或行使其在本協議項下的任何權利均不會與適用於持卡人的任何適用法律、判決、命令、授權、協議或義務相衝突，或導致違反該等法律、判決、命令、授權、協議或義務；

(d) the Cardholder is not bankrupt, insolvent or liquidated and is not aware of any bankruptcy, insolvency, liquidation or other analogous proceedings against the Cardholder; and

持卡人未破產、資不抵債或清算，且不知悉針對持卡人的任何破產、資不抵債、清算或其他類似程式；及

(e) all information given to Yeewallex in connection with this Agreement at any time is true, accurate, complete, not misleading and reliable in all material respects.

在任何時候向易雲匯提供的所有與本協議有關的資訊在所有重大方面均真實、準確、完整、不具誤導性且可靠。

8.3 At all times during the term of this Agreement, the Cardholder undertakes to:

(a) act in good faith at all times in relation to all dealings with Yeewallex and/or the Yeewallex Card;

在與易雲匯和/或易雲匯卡進行的交易中始終誠信行事；

(b) never use the Yeewallex Card or the Card Account for any illegal purposes; and

不將易雲匯卡或卡帳戶用於任何非法目的；及

(c) safeguard and take reasonable care of the Yeewallex Card, the Yeewallex Card Account Number and the PIN, including:

妥善保管易雲匯卡、易雲匯卡賬號和個人識別碼，包括：

(i) never transferring the Yeewallex Card or disclosing the Yeewallex Card Account Number or the PIN to any other person or permit their use by any other person without authorisation of the Cardholder;

不將易雲匯卡轉讓或將易雲匯卡賬號或個人識別碼洩露給任何其他人或允許任何其他人在未經持卡人授權的情況下使用；

(ii) keeping any record of the PIN separate from the Yeewallex Card or record of the Yeewallex Card Account Number;

(iii) destroying the original printed copy of the Yeewallex Card Account Number or the PIN;

(iv) never writing down the PIN on anything usually kept with or near the Yeewallex Card or the record of the Yeewallex Card Account Number;

(v) never writing down or recording the Yeewallex Card Account Number or the PIN without disguising it;

(viii) keeping the contact details registered with Yeewallex for the purpose of receiving important notifications from Yeewallex up-to-date to allow the relevant notifications to be delivered on a timely basis;

(ix) using the Yeewallex Card in accordance with the procedures, instructions and/or security guidelines (if any) from time to time issued by the Corporate Client and Yeewallex;

(x) accepting full responsibility for all consequences, liabilities or Losses incurred because the PIN has become known to any other person for whatever reason or because of any unauthorised use or unauthorised access of the Yeewallex Card, and indemnifying Yeewallex and keeping Yeewallex indemnified for any Loss incurred in respect of the foregoing; and

對因個人識別碼因任何原因為任何其他人所知或因任何未經授權使用或獲取易雲匯卡而導致的所有後果、責任或損失承擔全部責任，並就與前述事項相關的任何損失賠償易雲匯並使易雲匯得到賠償；及

(xi) reporting to Yeewallex as soon as reasonably practicable upon suspicion or discovery of the unauthorised disclosure and/or authorised use of the Yeewallex Card and/or the PIN.

一旦懷疑或發現易雲匯卡和/或個人識別碼的未經授權披露和/或未經授權使用，應在合理可行的情況下儘快向易雲匯報告。

8.4 At all times during the term of this Agreement, the Corporate Client undertakes to:

(a) act in good faith at all times in relation to all dealings with Yeewallex and/or the Yeewallex Card;

在與易雲匯和/或易雲匯卡進行的交易中始終誠信行事；

(b) never use the Yeewallex Card, the Card Account or the Master Account for any illegal purposes; and

不將易雲匯卡、卡帳戶或主賬戶用於任何非法目的；及

(c) procure the Cardholder to comply with the terms of this Agreement.  

促使持卡人遵守本協議的條款。

8.5 The Corporate Client and the Cardholder acknowledge and agree that:

公司客戶及持卡人確認並同意：

(a) whilst the Yeewallex Card may be used to effect a Card Transaction, Yeewallex neither undertakes that a particular merchant or any third party will accept the payment made via the Yeewallex Card, nor procures a particular merchant or any third party to accept such payments, and all payments or cash advances made via the Yeewallex Card shall be referrable to the goods and/or services purchased by the Cardholder, but not general payments made to any third party; and

儘管易雲匯卡可用於進行卡交易，易雲匯並不保證特定商戶或任何第三方會接受透過 易雲匯卡進行的付款，亦不會促使特定商戶或任何第三方接受該等付款。所有透過易雲匯卡進行的付款或現金預支應與持卡人所購買的商品及/或服務相關，而非向任何第三方作出的一般付款；及

(b) all rights, title and interest in and to the funds (including any Collateral) recorded under the Master Account or any Card Account shall be irrevocably transferred to, and vest in Yeewallex free and clear of any liens, claims, charges or encumbrances or any other interest that the Corporate Client, the Cardholder or any third party may have in such funds. In this regard:

記錄於主帳戶或任何卡帳戶中的資金（包括任何抵押金）之所有權利、所有權及權益，將不可撤銷地轉移並歸屬於易雲匯，且不受公司客戶、持卡人或任何第三方可能對該等資金享有的任何留置權、索償、抵押、負擔或其他權益所限制。就此而言：

(i) the funds (including any Collateral) in the Master Account or any Card Account may not be held separately from Yeewallex’s own funds;

(ii) Yeewallex shall be the sole beneficial owner of the funds (including any Collateral) in the Master Account or any Card Account, and no security, trust, agency or other third party rights, claims or interests exists or will be created; and

易雲匯為主帳戶或任何卡帳戶中資金（包括任何抵押金）的唯一實益擁有人，且不存在亦不會產生任何擔保、信託、代理或其他第三方權利、索償或權益；及

(iii) if Yeewallex were to become insolvent, the Corporate Client and the Cardholder shall be regarded as general unsecured creditors (if applicable) of Yeewallex and shall claim solely against the general assets of Yeewallex.

若易雲匯出現資不抵債情況，公司客戶及持卡人將被視為易雲匯的（如適用）一般無擔保債權人，並僅可就易雲匯的一般資產提出索償。

9 YEEWALLEX CARD CHARGES

易雲匯卡收費

9.1 The Card Account may be debited by Yeewallex for the following charges (“Charges”):

易雲匯可就以下收費由卡帳戶進行支賬（「收費」）：

(a) the amount of the Card Transactions; and

卡交易的金額；及

(b) any amount due in respect of the use of the Yeewallex Card Service and any other services that Yeewallex may from time to time provide or arrange under this Agreement.

就使用易雲匯卡服務及易雲匯根據本協議不時提供或安排的任何其他服務而應付的任何款項。

9.2 The Master Account may be debited by Yeewallex for any outstanding Charges of each Card Account.

易雲匯可就每個卡賬戶的任何未償還的收費，由主賬戶進行支賬。

9.3 After effecting the Card Transactions of a Yeewallex Card, Yeewallex may:

完成易雲匯卡的卡交易後，易雲匯可：

(a) deduct the Charges from the Collateral recorded under the applicable Card Account. If the applicable Card Account records a shortfall after the deduction, Yeewallex may recover such shortfall by deducting an amount equivalent to the shortfall from the Collateral recorded under the Master Account; or

由相關卡賬戶記錄的抵押金中扣除收費。如相關卡帳戶在扣除後出現資金不足，易雲匯可從主帳戶所記錄的抵押金中扣除相等於該不足金額的款項，以彌補該差額；或

(b) at its sole discretion (but shall not be obliged to) require the Corporate Client and/or the Cardholder to which the Charges relate to promptly pay the Charges upon demand by Yeewallex.

全權酌情（但無義務）要求涉及相關收費之公司客戶及/或持卡人，於易雲匯要求時即時支付該等收費。

9.4 The Corporate Client and a Cardholder to which such Charges relate shall be jointly and severally liable for the use of such Cardholder's Yeewallex Card and shall be jointly and severally liable for the total amount of Charges due to Yeewallex in respect of that Cardholder's Card Account.

公司客戶及與收費有關的持卡人須就使用該持卡人的易雲匯卡承擔共同及個別的法律責任，並須就該持卡人的卡帳戶應付予易雲匯的收費總額承擔共同及個別的法律責任。

9.5 The Cardholder’s failure to sign any sales voucher of a Card Transaction will not relieve the Corporate Client and/or Cardholder from the Charges due to Yeewallex in respect of such Card Transaction.

持卡人未成功簽署任何卡交易的簽賬單據，並不免除公司客戶及/或持卡人就該筆卡交易應付予 易雲匯的收費。

9.6 Charges incurred in or converted into HKD or USD will be posted into the Card Account. Charges in any currency other than HKD or USD will be converted into HKD or USD at the selection of Yeewallex at the prevailing exchange rate determined by Yeewallex (in consultation with, if applicable, any relevant international card associations) on the day of conversion and debited to the Card Account.

以港幣或美金產生或兌換的收費將記入卡帳戶。以港幣或美金以外的任何貨幣產生的收費，將按易雲匯（如適用，經諮詢任何相關國際信用卡組織後）在兌換當日釐定的市場匯率兌換為港幣或美金（視乎易雲匯所選擇），並支帳於卡帳戶。

10 FEES

費用

10.1 The Corporate Client and a Cardholder to which the relevant fees, expenses and interests (“Fees”) relate shall be jointly and severally liable for the Fees due to Yeewallex in relation to that Cardholder’s use of the Yeewallex Card at such rates and at such time as set out by Yeewallex in the Fee Schedule.

有關費用、開支及利息（「費用」）的公司客戶及持卡人須就該持卡人使用易雲匯卡而應付予 易雲匯的費用按易雲匯於費用表中訂明的費率及時間承擔共同及個別的法律責任。

10.2 Subject to the terms in the Fee Schedule, Yeewallex may at its sole discretion deduct the applicable Fees under this Agreement from a Card Account and/or the Master Account when they become payable.

受限於費用表中的條款， 易雲匯可自行酌情將本協議下的相關費用在其到期時從卡帳戶及/或主帳戶中扣除。

11 PAYMENTS

支付

11.1 All Collateral payments shall be made to Yeewallex or the Designated Recipient.

所有抵押金應向易雲匯或指定收款人支付。

11.2 Upon receiving the instruction from the Corporate Client and/or the Cardholder to use  Collateral paid to the Designated Recipient to settle the Charges, Yeewallex is authorised by the Corporate Client and/or the Cardholder to procure the Designated Recipient to transfer the Collateral received to Yeewallex, which will then be deducted from the applicable Card Account and utilised by Yeewallex to settle the Charges.

當收到公司客戶及/或持卡人的指示使用支付給指定收款人的抵押金以清償相關收費時，易雲匯在公司客戶及/或持卡人授權下，有權促使指定收款人將所收取之抵押金轉讓予易雲匯；易雲匯隨後可自相關卡帳戶中扣除該等款項並用以清償相關收費。

11.3 All payments of Collateral and repayments made to Yeewallex shall:

所有抵押金的支付及向易雲匯作出的還款應：

(a) be made in HKD or USD. Yeewallex may (exceptionally but without any obligation) accept payments in other foreign currencies, and such the foreign currencies will be converted into HKD or USD at the selection of Yeewallex at the exchange rate quoted by Yeewallex as applicable on the date of conversion;

以港幣或美金支付。易雲匯可（在特殊情況下，惟並無任何義務）接受以其它外幣支付，而該等外幣將按易雲匯於兌換當日所報的適用匯率折算為港幣或美金（視乎易雲匯的選擇）；

(b) be deemed not to have been made until such time as the relevant funds have been received in cleared and available funds by Yeewallex to which such payment relates; and

直至易雲匯收到以結算及可用資金形式支付的相關款項時方視為已支付；及

(c) be made without any deduction or withholding on account of any other amount whatsoever whether by way of set-off, counterclaim or otherwise.

無需就任何其它款項作出任何扣減或預扣，無論是以抵銷、反訴或其它方式作出。

11.4 If the payment of collateral or repayment to a Card Account or the Master Account (as the case may be) is in excess of the outstanding balance of the Charges in respect of that Card Account or Master Account (as the case may be), such excess will be applied to fund future Card Transactions, Fees, or Charges as and when they are debited to such Card Account or Master Account (as the case may be). Any credit balance in the Card Account or the Master Account shall not, in any case, bear interest.

若支付至持卡帳戶或主帳戶（視乎情況而定）之抵押金或還款超出該持卡帳戶或主帳戶（視乎情況而定）下的未償還收費餘額，該等超額款項將用於支付日後之卡交易、費用或收費（假如及於其被記入該持卡帳戶或主帳戶（視乎情況而定）之時）。任何於卡帳戶或主帳戶中的結餘，在任何情況下均不計算利息。

11.5 If the Corporate Client and/or Cardholder is/are required by any applicable laws or regulations to make any deduction or withholding from any sum payable by such Corporate Client and/or Cardholder to Yeewallex under this Agreement, the liability in respect of that deduction or withholding shall be the liability of such Corporate Client and/or Cardholder. It shall be the sole responsibility of the Corporate Client and/or Cardholder to effect payment of such deduction or withholding to the relevant authority within the applicable time limit and the Corporate Client and Cardholder shall indemnify Yeewallex for all consequences, liabilities or Losses of their failure to do so.

如任何適用法律或規例要求公司客戶及/或持卡人從其在本協議項下應向易雲匯支付的任何款項中作出任何扣減或預扣，則該等扣減或預扣的責任應由該等公司客戶及/或持卡人承擔。公司客戶及/或持卡人應自行負責在適用的時限內向有關機構支付該等扣減或預扣，且公司客戶及持卡人應就未能作出上述行為的所有後果、責任或損失向易雲匯作出賠償。

12 RECORDS AND STATEMENTS

記錄及結單

12.1 Subject to Clause 12.4 below, Yeewallex’s record of the Card Transactions, the amount of any Charge and Fees, whether or not authorised by a Cardholder and howsoever incurred, shall in the absence of manifest error, negligence or fraud, be final and binding on the Corporate Client and the Cardholder.

根據下文第12.4條， 易雲匯的卡交易記錄、任何收費及費用，無論是否經持卡人授權，以及以何種方式產生，在無明顯錯誤、疏忽或欺詐的情況下，應為最終記錄，並對公司客戶及持卡人具有約束力。

12.2 If a Card Transaction does not originate from a sales draft, Yeewallex shall be entitled to debit the amount of such Card Transaction to the Card Account as if it had been submitted to Yeewallex in writing and signed, and the Corporate Client and each Cardholder hereby authorise Yeewallex to do so.

如卡交易並非因簽賬單據產生，易雲匯仍有權就該卡交易的款項在適用的卡賬戶內進行支賬，如同易雲匯已收到書面經簽署的單據。公司客戶及持卡人在此授權易雲匯採取上述行動。

12.3 Yeewallex will send a Statement to the Corporate Client and each Cardholder on a monthly or other periodic basis as determined by Yeewallex.

易雲匯將按月或按易雲匯決定的其他週期向公司客戶及持卡人發送結單。

12.4 The Corporate Client and the Cardholder must examine each Statement and must notify Yeewallex in writing within 60 days from the issue date of such Statement of any unauthorised Card Transactions or Charges. After such period, the Statement will be deemed to be correct and conclusive. No claim to the contrary by the Cardholder or the Corporate Client can be admissible against Yeewallex unless any such unauthorised Charge arose from any of the following:

公司客戶及持卡人必須檢查每份結單，並在結單發出之日起60日內以書面形式通知易雲匯任何未經授權的卡交易或收費。在該期限後，結單將被視為正確的、具有終局性的結單。持卡人或公司客戶不得針對易雲匯提出相反的主張，除非任何該等未經授權的收費是因任何下列原因產生：

(a) any unauthorised transactions arising from forgery or fraud by any third party including any employee or agent of the Corporate Client (other than the Cardholder) and in relation to which Yeewallex has failed to exercise reasonable care and skill;

任何未經授權的交易乃因由任何第三方（包括公司客戶的任何雇員或代理人，持卡人除外）的假冒或欺詐行為而產生，且易雲匯在處理該等交易時未盡到合理的注意義務和技能；

(b) unauthorised transactions arising from forgery or fraud by any employee or agent of Yeewallex; or

未經授權的交易乃因易雲匯的任何雇員或代理人的假冒或欺詐行為而產生；或

(c) unauthorised transactions arising from the default or gross negligence on the part of Yeewallex or any of its employees or agents.

未經授權的交易乃因易雲匯或其任何雇員或代理人失當或嚴重疏忽而產生。

13 rights of yeewallex

易雲匯的權利

13.1 Nothing in this Agreement shall affect Yeewallex’s right of set-off, transfer and application of monies and assets at law or pursuant to other agreement (if any) from time to time subsisting between the Yeewallex and the Corporate Client/Cardholder.

本協議中的任何內容均不影響易雲匯根據法律或根據易雲匯與公司客戶/持卡人之間不時訂立的其他協議（如有）而享有的抵銷、轉讓及運用款項和資產的權利。

13.2 In addition to and without prejudice to all other rights and remedies available to Yeewallex, to the extent permitted by applicable laws, Yeewallex may:

除了且在不影響易雲匯可享有的所有其他權利及補救方法的情況下，在適用法律允許的範圍內， 易雲匯可：

(a) set-off, combine, consolidate or transfer, at any time and without prior notice, any monies of whatever description standing in the books of Yeewallex to the credit of the Corporate Client, whether held singly or jointly with others and whether in Hong Kong Dollars, any other currency or asset type in or towards satisfaction of any of the Corporate Client’s liabilities (whether actual or contingent, primary or collateral, future or existing, alone or jointly with others, matured or not) under this Agreement; and

在任何時候且無需事先通知的情況下，抵銷、組合、合併或轉讓易雲匯簿冊中記錄的任何種類的任何公司客戶的貸記款項，無論是單獨持有還是與他人共同持有，也無論是以港幣、任何其他貨幣或資產類型作為履行公司客戶在本協議下的任何負債（無論是實際負債還是或有負債，主要負債還是附屬負債，未來負債還是存在負債，單獨負債還是與他人共同負債，到期負債還是未到期負債）；及

(b) set-off, combine, consolidate or transfer, at any time and without prior notice, any monies of whatever description standing in the books of Yeewallex to the credit of a Cardholder, whether held singly or jointly with others and whether in Hong Kong Dollars, any other currency or asset type in or towards satisfaction of any of the Cardholder’s liabilities (whether actual or contingent, primary or collateral, future or existing, alone or jointly with others, matured or not) under this Agreement.

在任何時候且無需事先通知的情況下，抵銷、組合、合併或轉讓易雲匯簿冊中記錄的任何種類的任何持卡人的貸記款項，無論是單獨持有還是與他人共同持有，也無論是以港幣、任何其他貨幣或資產類型作為履行持卡人在本協議下的任何負債（無論是實際負債還是或有負債，主要負債還是附屬負債，未來負債還是存在負債，單獨負債還是與他人共同負債，到期負債還是未到期負債）。

For the purpose of set-off of funds in any currency other than HKD pursuant to this Clause 13.2, Yeewallex may convert the currency into HKD at the prevailing exchange rate determined by Yeewallex at the time of conversion.

13.3 Where the Card Account is in credit, Yeewallex may (but is not obliged to), refund to the Cardholder or the Corporate Client a part or the whole of the credit balance standing in the Card Account upon request by the Cardholder or the Corporate Client or at any time that Yeewallex (in its sole and absolute discretion) thinks fit. Such refund will be made upon such conditions as Yeewallex may reasonably impose including the manner in which the refund will be made.

14 exclusion and limitation of liability

14.1 Subject to other provisions in this Clause 14 below, Yeewallex will only be liable where the Corporate Client or the Cardholder has suffered direct Losses from the use of the Yeewallex Card and/or the Services and such direct Losses are attributable to the gross negligence or wilful misconduct of Yeewallex.

受限於本第14條的其他條文， 易雲匯將僅在以下情況下承擔責任：公司客戶或持卡人因使用易雲匯卡及/或服務而蒙受直接損失，且該等直接損失是因易雲匯的嚴重疏忽或故意不當行為所導致。

14.2 Yeewallex will not be liable whatsoever to the Corporate Client or any Cardholder for any Loss arising (whether directly or indirectly) from:

(a) any non-delivery, non-performance or defect in any goods or services paid for by the use of a Yeewallex Card or any claim or complaint by the Cardholder against the supplier of such goods or services, or any other dispute between the Cardholder and any such supplier, for the avoidance of doubt, each Corporate Client and Cardholder shall remain fully liable for any Charges incurred in respect of the relevant goods or services and the Corporate Client and Cardholder shall seek redress in respect of such goods and services from the relevant supplier directly;

因使用易雲匯卡支付的任何商品或服務未能交付、未能履行或出現任何瑕疵，或持卡人對該等商品或服務的供應商提出任何申索或投訴，或持卡人與任何該等供應商之間的任何其他爭議，為免生疑問，各公司客戶及持卡人仍須就有關商品或服務招致的任何收費負全責，且應就該等商品或服務直接向有關供應商尋求賠償；

(b) the refusal of any person, internet website, Terminal or any telecommunication devices to honour or accept a Yeewallex Card;

(c) save as provided in Clause 12.4 and subject to Clauses 14.4 and 14.5, the incurring of a Charge other than by a Cardholder;

(d) subject to Clauses 14.4, 14.5 and 14.7, access to the use of the Yeewallex Card and/or the Services by the Cardholder, the Corporate Client, or any other person whether or not authorised;

(e) Yeewallex’s inability to execute any of the instructions of the Corporate Client and/or Cardholder due to prevailing market conditions or other causes beyond the control, and not attributable to any default or negligence, of Yeewallex;

因現行市況或其他超出易雲匯控制範圍且不能歸因於易雲匯的違約或疏忽的原因，導致易雲匯無法執行公司客戶及/或持卡人的任何指令；

(f) the inaccuracy in any information or data provided by the Corporate Client or the Cardholder for the purposes of using the Yeewallex Card and/or the Services, or the loss of such information or data due to any default or negligence of the Corporate Client or the Cardholder;

公司客戶或持卡人為使用易雲匯卡及/或服務而提供的任何資訊或資料不準確，或因公司客戶或持卡人的違約或疏忽而導致該等資訊或資料丟失；

(g) the exercise by Yeewallex of its right to demand a Cardholder cease using the Yeewallex Card for any purpose prior to its expiry date, whether such demand is made and/or procured by Yeewallex or by any other person or Terminal;

易雲匯行使其權利要求持卡人在易雲匯卡到期日之前停止為任何目的使用易雲匯卡，無論該等要求是由易雲匯、任何其他人或終端發出和/或獲得；

(h) the exercise by Yeewallex of its right to:

(i) amend the terms of this Agreement and/or the Fee Schedule pursuant to Clause 17; or

(ii) terminate a Yeewallex Card, a Card Account or the Master Account pursuant to Clause 18;

(i) any injury to the credit character and reputation of the Corporate Client or the Cardholder in connection with or caused by the refusal of any person to honour or accept the Yeewallex Card whether or not instructed by Yeewallex;

(j) any act of fraud, forgery or gross negligence of a Cardholder, the Corporate Client (including an employee or agent of the Corporate Client or any other person (other than Yeewallex), including such Cardholder's failure to observe Clauses 8.3(c) or 14.5 or follow any other safety recommendations of Yeewallex from time to time;

(k) any action, omission or inaction of any third party (including the relevant international card associations) through which the Yeewallex Card and/or the Services may be made available to the Cardholder or the Corporate Client, provided that Yeewallex shall have exercised reasonable care and skill in connection with its dealings with such third party;

任何使持卡人或公司客戶獲得易雲匯卡和/或服務的第三方（包括相關國際卡協會）的任何作為、不作為或不作為，前提是 易雲匯在與該第三方的交易中已採取合理的謹慎和技能；

(l) the performance or non-performance of, or the ability or inability to conduct a Card Transaction with the use of a Yeewallex Card or the Yeewallex Card Account Number or any delay of a Card Transaction in relation thereto; or

使用易雲匯卡或易雲匯卡帳號進行或不進行卡交易、能夠或無法進行卡交易、或與此相關的卡交易的任何延遲；或

(m) any other acts or circumstances beyond the reasonable control of Yeewallex.

14.3 In the event of any proceedings which a Corporate Client or a Cardholder (as the case may be) may bring against Yeewallex for any cause whatsoever, such Corporate Client and/or Cardholder agree(s) that Yeewallex’s liability shall not exceed those amounts wrongly charged to the Master Account or the relevant Card Account (as the case may be).

14.4 Provided the Corporate Client and Cardholder have not acted fraudulently or with gross negligence, or has not failed to safeguard a Yeewallex Card, the Yeewallex Card Account Number or the PIN in accordance with Clause 8.3(c) and other safety recommendations of Yeewallex from time to time, such Corporate Client and Cardholder shall not be liable for any Losses as incurred:

(a) in the event of misuse when the Yeewallex Card Account Number and the PIN have not been received by the Cardholder or the Corporate Client;

(b) for any unauthorised transactions made after the Cardholder or the Corporate Client has duly notified Yeewallex of the unauthorised disclosure and/or authorised use of the Yeewallex Card and/or the PIN; and

在持卡人或公司客戶已正式通知易雲匯，易雲匯卡和/或個人識別碼的未經授權披露和/或未經授權使用的情況下進行的任何未經授權的交易；及

(c) when faults have occurred in the Terminals used, which cause the Cardholder or the Corporate Client to suffer loss and damage, unless the fault was obvious or advised by a message or notice on display.

14.5 A Corporate Client and/or Cardholder shall report to Yeewallex as soon as reasonably practicable upon suspicion or discovery of the unauthorised disclosure and/or authorised use of the Yeewallex Card and/or the PIN. A Corporate Client and Cardholder will not be liable for any unauthorised Charges incurred after Yeewallex has properly received such notice, provided that such Corporate Client and Cardholder have not acted fraudulently or with gross negligence or has not failed to safeguard a Yeewallex Card, the Yeewallex Card Account Number or the PIN in accordance with Clause 8.3(c) and other safety recommendations of Yeewallex from time to time.

14.6 A Corporate Client and Cardholder shall provide to Yeewallex all material information as to the circumstances of the unauthorised disclosure and/or authorised use of the Yeewallex Card and/or the PIN and take all reasonable steps to assist Yeewallex to recover any losses so incurred.

公司客戶和持卡人須向易雲匯提供關於易雲匯卡和/或個人識別碼的未經授權披露和/或未經授權使用的情況的所有重要資料，並採取所有合理的措施協助 易雲匯收回因此招致的任何損失。

14.7 Where it is established that the Corporate Client and Cardholder have acted in good faith, exercised reasonable care and diligence in safeguard a Yeewallex Card, the Yeewallex Card Account Number or the PIN and reported the unauthorised disclosure or misuse as soon as reasonably practicable upon notice or suspicions thereof, the liability of the Corporate Client and Cardholder to Yeewallex for unauthorised use of the Yeewallex Card prior to giving notice under Clause 14.5 above shall be limited to a maximum amount of HKD500 or such maximum amount so specified by Yeewallex from time to time. Notwithstanding the aforesaid, the Corporate Client and Cardholder shall be fully liable for all losses and damages suffered by Yeewallex arising directly or indirectly from the unauthorised disclosure and/or authorised use of the Yeewallex Card and/or the PIN if such Corporate Client and/or Cardholder has/have acted fraudulently or with gross negligence or has failed to report to Yeewallex in accordance with Clause 14.5 or has failed to safeguard a Yeewallex Card, the Yeewallex Card Account Number or the PIN in accordance with Clause 8.3(c) and other safety recommendations of Yeewallex from time to time.

如證實公司客戶及持卡人已秉誠行事，並已合理地謹慎及致力將易雲匯卡、易雲匯卡賬號或個人識別碼妥為保管，並於得知或懷疑其已遭披露或遭冒用後在合理切實可行的範圍內儘快報失，公司客戶及持卡人根據上文第14.5條發出通知前須就易雲匯卡被未經授權使用向易雲匯承擔責任，責任最高限額為港幣500元或由易雲匯不時指明的最高限額。儘管上述如此，若公司客戶及持卡人的易雲匯卡之被未經授權披露或冒用是由於該公司客戶及/或持卡人有欺詐行為或嚴重疏忽，或未能根據上文第14.5條之規定向易雲匯作出通知或未能根據上文第8.3(c)條及易雲匯不時發佈的其他安全意見保管易雲匯卡、易雲匯卡帳號或個人識別碼，該公司客戶及持卡人則須對易雲匯因此而招致的一切直接或間接的損失及損害負全責。

14.8 The Corporate Client and Cardholder acknowledge that they may have to bear a Loss when a Yeewallex Card has been used for an unauthorised transaction before the Corporate Client or Cardholder has notified Yeewallex of the unauthorised disclosure and/or authorised use of the Yeewallex Card and/or the PIN.

公司客戶和持卡人確認，在公司客戶或持卡人通知易雲匯，易雲匯卡和/或個人識別碼的未經授權披露和/或未經授權使用前，如易雲匯卡被用於未經授權的交易，公司客戶或持卡人須承擔損失。

15 INDEMNITY

Without prejudice to any other indemnities the Corporate Client or Cardholder has given to Yeewallex:

(a) the Corporate Client shall be liable for any liability, indemnity and/or payment obligation (including outstanding Charges and Fees) of the Corporate Client and/or each Cardholder under this Agreement;

公司客戶須就其及/或每位持卡人在本協議下的任何法律責任、彌償及/或付款義務（包括未付的收費及費用）負責；

(b) the Corporate Client and a Cardholder to which the relevant liability, indemnity and/or payment obligation relate shall be jointly and severally liable for such liability, indemnity and/or payment obligation (including the Charges and the Fees) in respect of that Cardholder’s use of the Yeewallex Card and/or the Services; and

與相關法律責任、彌償及/或付款義務相關的公司客戶和持卡人須就與該持卡人使用易雲匯卡及/或服務相關的法律責任、彌償及/或付款義務（包括收費及費用）承擔連帶責任；及

(c) to the fullest extent permitted by the applicable law, the Corporate Client and the Cardholder shall indemnity Yeewallex, its employees or agents and keep Yeewallex, its employees or agents indemnified against any claims, actions, proceedings, Losses, costs and expenses (including all reasonable legal and debt collection costs and expenses) whatsoever and howsoever caused, or brought against Yeewallex, its employees or agents, except for any direct Loss caused by the gross negligence or wilful misconduct on the part of Yeewallex, its employees or agents, in relation to the provision of the Yeewallex Card and/or Services.

在適用法律所允許的最大範圍內，向易雲匯、其僱員或代理人作出彌償，並使易雲匯、其僱員或代理人免受與提供易雲匯卡和/或服務有關的任何及不論如何引起的索償、訴訟、法律程序、損失、費用及開支（包括所有合理的法律及債務追收費用及開支），惟因易雲匯、其僱員或代理人重大疏忽或蓄意不當行為所直接導致的損失除外。

16 data privacy

資料私隱

16.1 The Corporate Client and the Cardholder agree that:

(a) the Cardholder’s Personal Data collected by Yeewallex may from time to time be used, held, transferred and/or disclosed for such purposes and to such persons (whether in or outside Hong Kong) in accordance with the policies of Yeewallex regarding the use and disclosure of Personal Data made available by Yeewallex to the Corporate Client and the Cardholder from time to time (the latest version of the Privacy Policy is set out in Schedule 2); and

易雲匯所收集的持卡人的個人資料，可根據易雲匯不時向公司客戶和持卡人提供的個人資料的使用及披露政策（最新版本的私隱政策載於附表2)，不時用於、持有、轉讓及/或披露予該等目的及向該等人士（不論在香港境內或境外）；及

(b) the Cardholder’s Personal Data may also be used in connection with matching procedures (as defined in the Personal Data (Privacy) Ordinance), and disclosed (by way of references or otherwise) to any financial institution with which the Cardholder has or proposes to have dealings to enable such financial institution to conduct credit checks on the Cardholder.

持卡人的個人資料亦可用於核對程序（定義見《個人資料（私隱）條例》），及披露予與持卡人有或其擬有業務往來的任何金融機構（以參考資料的形式或其他形式），使該金融機構能就持卡人進行信用檢查。

16.2 Without prejudice to Clause 16.1, Yeewallex is authorised to disclose the Cardholder’s Personal Data:

(a) to other parties, affiliated companies, Terminals and/or third party service providers (including the Designated Recipient) as may enable Yeewallex to provide the Services and/or effect Card Transactions; and

向可使易雲匯提供服務及/或進行卡交易的其他方、關聯公司、終端及/或第三方服務供應商（包括指定收款人）披露；及

(b) to any person or government authority or regulatory body if required by any laws, rules, regulations, court orders, codes or guidelines in any jurisdiction.

16.3 The Cardholder hereby authorises Yeewallex to contact any person (including, without limitation, employers, banks, financial institutions, credit card issuing companies, credit reporting agencies, credit bureaux or any other information sources) to obtain, exchange and disclose credit reports and references and any other information Yeewallex may require to provide the Services. Yeewallex shall not approach any proposed referee for the Cardholder unless the Cardholder informs Yeewallex that the Cardholder has obtained the prior consent of such referee.

持卡人特此授權易雲匯聯絡任何人士（包括但不限於雇主、銀行、金融機構、信用卡發行公司、信用報告機構、信用局或任何其他資訊來源），以取得、交換及披露易雲匯為提供服務而可能需要的信用報告、參考資料及任何其他資訊。除非持卡人告知易雲匯持卡人已事先取得該推薦人的同意，否則易雲匯不得接洽持卡人的任何推薦人。

16.4 The Cardholder hereby authorises Yeewallex to compare information provided by the Cardholder with other information collected about them for checking purposes or to produce more data. Yeewallex may use the results of such comparisons for the purposes of taking any action in relation to a Yeewallex Card including action which may be adverse to the interests of the Cardholder.

持卡人特此授權易雲匯將持卡人提供的資訊與其他收集的有關持卡人的資訊進行比較，以作檢查之用，或產生更多資料。易雲匯可使用該比較結果就易雲匯卡採取任何行動，包括可能對持卡人的利益造成不利影響的行動。

17 amendment

修訂

17.1 Yeewallex may (in its discretion) from time to time amend this Agreement and/or the Fee Schedule without consent from the Corporate Client and/or Cardholder. Yeewallex may give prior notice to the Corporate Client and Cardholder in a manner Yeewallex considers appropriate.

易雲匯可不時（基於其酌情權）修訂本協議及/或費用表，而無須獲得公司客戶及/或持卡人的同意。易雲匯可以其認為適當的方式事先通知公司客戶及持卡人。

17.2 Activation or continued use of the Yeewallex Card and/or the Services after the effective date of any amendment to this Agreement and/or the Fee Schedule shall constitute the acceptance of such amendment by the Corporate Client and/or the Cardholder.

在本協議及/或費用表的任何修訂生效日期之後啟動或繼續使用易雲匯卡及/或服務，即構成公司客戶及/或持卡人接受該等修訂。

17.3 If the Corporate Client or the Cardholder does not accept the proposed amendment by Yeewallex, the only recourse available is to terminate the use of the Yeewallex Card and the Services in accordance with Clause 18.

如公司客戶或持卡人不接受易雲匯提出的修訂，則唯一可行的方法是根據第18條終止易雲匯及服務的使用。

18 termination

18.1 The Cardholder or the Corporate Client may at any time terminate the use of the Yeewallex Card and the Card Account by giving not less than 30 days' prior written notice to Yeewallex, provided that the Corporate Client and Cardholder shall remain jointly and severally liable for all outstanding Charges and Fees in respect of such Yeewallex Card and Card Account until such sums (whether or not posted to the Card Account or shown in the Statements) are paid in full.

持卡人或公司客戶可在任何時候提前至少30天書面通知易雲匯終止易雲匯卡及卡帳戶的使用，但是，公司客戶及持卡人應就該等易雲匯卡及卡帳戶的所有未清收費和費用承擔連帶責任，直至該等款項（無論是否已記入卡帳戶或在帳單中顯示）全部付清。

18.2 The Corporate Client may at any time terminate the use of all issued Yeewallex Cards, all Card Accounts and the Master Account by giving not less than 30 days’ prior written notice to Yeewallex, provided that the Corporate Client shall remain liable for all outstanding Charges and Fees in respect of all issued Yeewallex Cards, all Card Accounts and the Master Account until such sums (whether or not posted to each Card Account or the Master Account or shown in the Statements) are paid in full.

公司客戶可在任何時候提前至少30天書面通知易雲匯終止所有已發行的易雲匯卡、所有卡帳戶及主帳戶的使用，但是，公司客戶應就所有已發行的易雲匯卡、所有卡帳戶及主帳戶的所有未清收費和費用承擔連帶責任，直至該等款項（無論是否已記入各卡帳戶或主帳戶或在帳單中顯示）全部付清。

18.3 Yeewallex may at any time, with or without prior notice, suspend, cancel or terminate any Yeewallex Card, Card Account, the Master Account or any part of the Services without giving any reasons.

易雲匯可在任何時候，經或不經事先通知，暫停、註銷或終止任何易雲匯卡、卡帳戶、主帳戶或服務的任何部分，而無需說明任何理由。

18.4 Upon termination of this Agreement (whether by the Cardholder, the Corporate Client or Yeewallex), the Cardholder shall immediately cease using the Yeewallex Card for any purpose. No request to terminate a Yeewallex Card shall be effective unless and until such Yeewallex Card is terminated by Yeewallex.

19 notices

19.1 Yeewallex shall be entitled to prescribe, from time to time, the form of notice (whether written or any other form) and the mode of communication.

19.2 Communications delivered personally, sent by post, facsimile transmission, telex, internet, email or mobile short message will be deemed to have been delivered to the Corporate Client or the Cardholder:

以專人遞送、郵寄、傳真、電傳、互聯網、電子郵件或手機短信方式遞送的通訊，在下列情況下將被視為已遞送至公司客戶或持卡人：

(a) (where delivered personally) at the time of personal delivery or on leaving it at the address last registered with Yeewallex;

(b) where sent by post) at the time when deposited in the post; or

（如以郵寄方式遞送）於交付郵寄之時；或

(c) (where sent by facsimile transmission, telex, internet, email or mobile short message) on the date of despatch or transmission to the facsimile or telex number or the email address or mobile phone number last registered with Yeewallex notwithstanding any delay or failure of such transmission.

19.3 All communications sent by the Corporate Client or the Cardholder to Yeewallex shall be in writing unless Yeewallex prescribes another form of notice or mode of communication. Such communication shall be deemed to have been delivered to Yeewallex on the date of actual receipt.

公司客戶或持卡人向易雲匯發出的所有通訊均應為書面形式，除非易雲匯規定了其他通知形式或通訊方式。該等通訊應在實際收到之日視為已遞送至易雲匯。

20 MISCELLANEOUS

20.1 Severability

If the whole or any part of a clause of this Agreement is void, unenforceable or illegal in a jurisdiction, it is severed for that jurisdiction. The remainder of this Agreement has full force and effect and the validity or enforceability of such clause in any other jurisdiction is not affected.

如果本協議某條款的全部或任何部分在某司法管轄區內無效、不可執行或非法，則該條款在該司法管轄區內終止。本協議的其他條款具有完全的效力及作用，且該條款在任何其他司法管轄區內的有效性及可執行性不受影響。

20.2 Governing law and Jurisdiction

(a) This Agreement is governed by the laws of Hong Kong.

(b) With respect to any dispute, claim, difference or controversy arising out of, relating to or having any connection with this Agreement, including any dispute as to its existence, validity, interpretation, performance, breach or termination or the consequences of its nullity and any dispute relating to any non-contractual obligations arising out of or in connection with it (a “Dispute”), each party irrevocably:

就因本協議產生的、與本協議有關的或與本協議有聯繫的任何爭議、申索、分歧或爭論，包括關於本協議的存在、有效性、解釋、履行、違約或終止或本協議無效的後果的任何爭議，以及因本協議產生的或與本協議有關的任何非協議義務有關的任何爭議（「爭議」），協議各方不可撤銷地：

(i) submits to the non-exclusive jurisdiction of the Hong Kong courts; and

服從香港法院的非專屬司法管轄區；及

(ii) waives any objection which it may have at any time to the laying of venue of any Dispute brought in any such court, waives any claim that such Dispute have been brought in an inconvenient forum and further waives the right to object, with respect to such Dispute, that such court does not have any jurisdiction over such party.

放棄其可能於任何時間對在上述任何法院提起的任何爭議的審判地點提出的任何異議，放棄以該爭議是在非方便法院提起的任何申索，並進一步放棄就該爭議提出該法院對該方沒有任何管轄權的異議的權利。

20.3 Counterparts

副本

This Agreement may be executed in counterparts which when taken together shall constitute one and the same instrument.

本協議可簽署多份副本，所有副本共同構成同一份文件。

20.4 Assignments

轉讓

The Corporate Client and the Cardholder agree that Yeewallex may assign or transfer its rights and obligations under this Agreement, in whole or in part, to any third parties. The rights and obligations of the Corporate Client and/or the Cardholder under this Agreement may not be assigned without Yeewallex’s prior written consent.

公司客戶及持卡人同意， 易雲匯可將其在本協議下的權利及義務全部或部分轉讓或讓與任何第三方。未經易雲匯事先書面同意，公司客戶及/或持卡人不得轉讓在本協議下的權利及義務。

20.5 Third party rights

第三方權利

No person other than the Corporate Client, the Cardholder and Yeewallex will have any right under the Contracts (Rights of Third Parties) Ordinance (Cap 623 of the Laws of Hong Kong) to enforce or enjoy the benefit of any of the provisions of this Agreement.

根據《協議（第三者權利）條例》（香港法例第623章），除公司客戶、持卡人及易雲匯外，概無任何權利執行本協議的任何條文或從中享有任何權益。

20.6 Language

語言

In the event of any inconsistency between the English and Chinese versions of this Agreement, the English version shall prevail.

如本協議的中英文版本有任何不一致之處，以英文版本為准。

Schedule 1 Additional Terms and Conditions for Yeewallex Card Programme Manager

附表1 易雲匯卡計劃管理人的附加條款及條件

The following Additional Terms and Conditions apply to the Yeewallex Card Programme Manager. These Additional Terms and Conditions are supplemental to the “Terms and Conditions for Yeewallex Carad Service” set out above.

以下附加條款及條件適用於易雲匯卡計劃管理人。該等附加條款及細則為上文所載「易雲匯卡服務條款及條件」的補充。

1 DEFINITIONS

定義

1.1 In these Additional Terms and Conditions, unless the context otherwise requires, the following terms have the following meanings:

於本附加條款及條件中，除非上下文另有所指，下列詞彙具有以下涵義：

“Responsibilities” has the meaning given to it in Clause 3.

「職責」指第3條所賦予的涵義。

“Yeewallex Card Programme” means the card programme established by Yeewallex for the purposes of providing the Yeewallex Card Service to a particular Corporate Client and any Cardholder(s) attributed to such Corporate Client.

「易雲匯卡計劃」指由易雲匯為向特定公司客戶及其所屬持卡人提供易雲匯卡服務而設立的卡計劃。

“Yeewallex Card Programme Manager” means a Corporate Client approved by Yeewallex as the manager of a Yeewallex Card Programme.

「易雲匯卡計劃管理人」指經易雲匯批准作為易雲匯卡計劃的管理人的公司客戶。

1.2 Capitalised terms not defined in these Additional Terms and Conditions shall have the meanings given to them in the “Terms and Conditions for Yeewallex Card Services”.

凡於本附加條款及細則中未有定義之大寫詞語，應具有「易雲匯卡服務條款及條件」中所賦予之涵義。

2 APPLICATION

申請

2.1 To become a Yeewallex Card Programme Manager, the Corporate Client must apply to Yeewallex and comply with the requirements (including any eligibility requirements) prescribed by Yeewallex and/or the relevant international card association from time to time.

如要成為易雲匯卡計劃管理人，公司客戶必須向易雲匯提出申請，並遵守易雲匯及/或相關國際卡組織不時訂立的要求（包括任何資格要求）。

2.2 Yeewallex may at its sole discretion refuse to approve a Corporate Client applicant as the Yeewallex Card Programme Manager, even if the Corporate Client has complied with the application procedures prescribed by Yeewallex and/or the relevant international card association.  

易雲匯可全權酌情拒絕批准公司客戶成為易雲匯卡計劃管理人，即使該公司客戶已遵守易雲匯 及/或相關國際卡組織所訂立的申請程序。  

3 RESPONSIBILITIES OF YEEWALLEX CARD PROGRAMME MANAGER

易雲匯卡計劃管理人的職責

The Yeewallex Card Programme Manager is responsible for (“Responsibilities”):

易雲匯卡計劃管理人須負責履行以下職責（「職責」）：

(a) assessing, verifying and confirming the eligibility of a Cardholder applicant in accordance with the requirements or criteria prescribed by Yeewallex and/or the relevant internation card association from time to time;

根據易雲匯及/或相關國際卡組織不時訂立的要求或標準，評估、核實並確認持卡人申請人的資格；

(b) conducting customer due diligence and collecting Know Your Customer (KYC) documents from the Cardholder in accordance with the requirements prescribed by Yeewallex and/or the relevant internation card association from time to time;

根據易雲匯及/或相關國際卡組織不時訂立的要求，對持卡人進行客戶盡職審查，並收集「認識你的客戶」（KYC）文件；

(c) subject to Yeewallex’s prior approval, devising and administering a set of protocols, rules, procedures or guidelines for all Cardholder(s) under the Yeewallex Card Program upon Yeewallex’s request; and

在獲得易雲匯事前批准的前提下，根據易雲匯的要求，制定並管理一套適用於易雲匯 卡計劃下所有持卡人的協議、規則、程序或指引；及

(d) such other responsibilities as agreed between Yeewallex and the Yeewallex Card Programme Manager from time to time.

易雲匯與易雲匯卡計劃管理人不時協定的其他職責。

4 REPRESENTATIONS AND WARRANTIES

陳述和保證

The Yeewallex Card Programme Manager represents and warrants that:

易雲匯卡計劃管理人聲明並保證：

(a) it possesses the experience, expertise, skill, competence, capacity and other resources necessary to perform the Responsibilities;

其具備履行職責所需的經驗、專業知識、技能、能力、行爲能力及其他資源；

(b) it will comply with all applicable laws and regulations (including data privacy laws and regulations), and any requirements, rules, guidelines or procedures prescribed by Yeewallex and the relevant international card association from time to time;

其將遵守所有適用法律及法規（包括資料私隱法律及法規），以及易雲匯及相關國際卡組織不時訂立的任何要求、規則、指引或程序；

(c) it will act in good faith and exercise reasonable care and diligence in performing its Responsibilities;

在履行其職責時，其將本於誠信並以合理的謹慎及勤勉行事；

(d) it will not assign, transfer, or sub-license any rights granted to Yeewallex by the relevant international card association to any third party without the prior written consent of the Yeewallex and the relevant international card association. Any attempt to sub-license or transfer such rights without consent shall be deemed null and void;

未經易雲匯及相關國際卡組織事前書面同意，其不會將由相關國際卡組織授予易雲匯 的任何權利轉讓、轉移或再授權予任何第三方。任何未經同意而作出的再授權或轉讓該等權利的行為均屬無效；

(e) it will not sub-license the membership of Yeewallex with the relevant international card association to any third party, unless it receives prior written consent from Yeewallex and the relevant international card association; and

未經易雲匯及相關國際卡組織事前書面同意，其不會將易雲匯於相關國際卡組織的會員資格再授權予任何第三方；及

(f) it will, to the fullest extent permitted by the applicable law and without prejudice to other indemnities it has given to Yeewallex, indemnify Yeewallex, its employees or agents and keep Yeewallex, its employees or agents indemnified against any claims, actions, proceedings, Losses, costs and expenses (including all reasonable legal and debt collection costs and expenses) whatsoever and howsoever caused, or brought against Yeewallex, its employees or agents, except for any direct Loss caused by the gross negligence or wilful misconduct on the part of Yeewallex, its employees or agents, in relation to or arising from its performance of the Responsibilities.

在適用法律所允許的最大範圍內，並在不影響其對易雲匯所作出的其他彌償承諾的情況下，其將向易雲匯、其僱員或代理人作出彌償，並使易雲匯、其僱員或代理人免受與其履行職責有關或由此引起的任何及不論如何引起的索償、訴訟、法律程序、損失、費用及開支（包括所有合理的法律及債務追收費用及開支），惟因易雲匯、其僱員或代理人重大疏忽或蓄意不當行為所直接導致的損失除外。
